1. Agreement to terms
These Terms of Service ("Terms") are a binding agreement between you and HaloHuman, Inc. ("HaloHuman," "we," "us," or "our") governing your access to and use of the website at halohuman.com and the HaloHuman iOS application (together, the "Services"). If you do not agree to these Terms, do not use the Services.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you meet this requirement and that the information you provide is accurate.
3. The Services
HaloHuman provides personal AI agents that run privately on your iPhone and evolve into your Digital Twin. The Services are in active development. Features, availability, and the waitlist are offered on a pre-release basis and may change, be delayed, or be discontinued at any time without liability to you.
4. Your account and conduct
You agree to use the Services lawfully and responsibly. You will not:
- Use the Services in violation of any law or third-party rights.
- Attempt to interfere with, disrupt, or gain unauthorized access to the Services or related systems.
- Probe, scan, scrape, or test the vulnerability of the Services without our written permission.
- Submit false information or impersonate any person or entity.
- Reverse engineer or attempt to extract source code except where permitted by law.
5. Intellectual property
The Services, including all software, text, designs, logos, and content (excluding your own data), are owned by HaloHuman or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. All rights not expressly granted are reserved.
HaloHuman is not affiliated with Apple Inc. Apple, iPhone, HealthKit, CloudKit, and Secure Enclave are trademarks of Apple Inc.
6. Apple App Store terms
If you download the App from the Apple App Store, your use is also subject to Apple's Licensed Application End User License Agreement (EULA). Apple is not a party to these Terms and is not responsible for the App or its content. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
7. Privacy
Your use of the Services is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.
8. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. HaloHuman does not provide medical, financial, legal, or other professional advice. Agent outputs are informational only and should not be relied upon as a substitute for professional judgment. We do not warrant that the Services will be uninterrupted, secure, or error-free.
9. Limitation of liability
To the maximum extent permitted by law, HaloHuman and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 100.
10. Indemnification
You agree to indemnify and hold harmless HaloHuman from any claims, damages, or expenses (including reasonable legal fees) arising out of your misuse of the Services or your violation of these Terms or applicable law.
11. Termination
We may suspend or terminate your access to the Services at any time if you violate these Terms or if we discontinue the Services. You may stop using the Services at any time by deleting the App and discontinuing use of the Site. Sections that by their nature should survive termination will survive.
12. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration or small-claims court, to the extent permitted by applicable law.
13. Changes to these terms
We may update these Terms from time to time. We will update the "Last updated" date above, and your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
